Terms of Service
Applicable to EU Customers | Compliant with EU Commercial Regulations
These Terms of Service (hereinafter referred to as "these Terms") constitute a legal agreement between Ember Trade Inc (hereinafter referred to as "we") and you (consumers and business customers using our products and services within the EU, collectively referred to as "you") regarding our provision of sales of women's apparel and underwear products and related ancillary services (collectively referred to as "the Services"). These Terms apply to all your actions when obtaining the Services through our official website embertradellc.com or other authorized channels. Please read these Terms carefully before using our Services. By using our Services, you acknowledge that you have fully understood and agreed to all the contents of these Terms. I Service Content and Scope
1. Core Services
Display, sales, order processing, logistics and distribution of women's apparel and underwear products, after-sales service (in accordance with our EU Return and Exchange Policy), and product consultation.
2. Additional Services
Member-exclusive services (points accumulation, priority shipping, etc.) and marketing information push services (subject to your explicit consent). Some may require additional payment.
3. Service Restrictions
We only provide services to persons with legal capacity as defined by EU laws. Minors must use services under legal guardian supervision. We reserve the right to adjust service content/scope and will notify you of changes.
II Your Rights and Obligations
1 Your Rights
- Right to use all services normally in compliance with these Terms;
- Right to inquire, complain, or make suggestions regarding product and service quality;
- Right to enjoy legal rights such as returns, exchanges, and warranties under EU laws;
- Right to personal data protection as specified in our EU Privacy Policy (GDPR Compliance).
2 Your Obligations
- Provide true, accurate, and complete personal information and update it promptly;
- Safeguard your account information and be responsible for losses due to negligence;
- Comply with EU and member state laws and do not engage in illegal activities;
- Verify order information carefully and be responsible for errors;
- Cooperate with goods receipt and inspection process and report problems promptly.
III Our Rights and Obligations
1. Our Rights
- Adjust product prices, service content, and rules with advance notice;
- Take measures (warning, suspension, termination) for term violations;
- Collect, use, and store personal data in compliance with GDPR;
- Suspend/terminate services without liability for force majeure or policy changes.
2. Our Obligations
- Provide stable and secure services in compliance with laws;
- Ensure products meet EU quality standards and display truthful information;
- Protect your personal data security (GDPR Compliance);
- Respond promptly to inquiries and after-sales requests;
- Arrange product shipment and delivery in accordance with shipping terms.
IV Order and Contract Establishment
Order Submission
When you submit an order through official channels, you must confirm order information carefully. Submitting an order constitutes your offer to purchase products and accept these Terms.
Order Confirmation
We review order information (payment, inventory, address, etc.). Order confirmation email means we accept your offer and the sales contract is established. Failed reviews will be notified promptly with refunds (if applicable).
Order Modification and Cancellation
Modify/cancel before confirmation via customer service. After confirmation but before shipment: cancel with full refund after approval. After shipment: follow EU Return and Exchange Policy procedures.
V Intellectual Property
We own all intellectual property rights related to our services and products, including but not limited to trademarks, patents, copyrights, trade secrets, etc. During your use of the service, you only obtain the right to use the relevant content and may not copy, modify, disseminate, infringe, or use it for other commercial purposes without authorization.
You guarantee that you will not infringe on the intellectual property rights of any third party when using the service. If a third party makes an infringement claim due to your actions, you will bear full responsibility, and you will compensate us for any losses caused.
VI Limitation of Liability and Exemption
1. Limitation of Liability
Our liability for direct losses arising from the provision of services shall not exceed the total price of the products in your corresponding order. We shall not be liable for any indirect losses, including but not limited to anticipated profits, lost wages, and damage to goodwill, unless such loss is caused by our intentional act or gross negligence.
2. Exemption from Liability
We shall not be liable for losses or service issues caused by the following circumstances:
- Force Majeure: Natural disasters, war, strikes, public health emergencies, etc.;
- Your own fault: Incorrect information, improper account management, failure to cooperate, etc.;
- Third-party causes: Logistics carrier fault, network provider malfunctions, third-party infringements, etc.;
- Service changes/termination due to EU policy adjustments;
- Problems from using unauthorized channels to obtain services.
VII Amendment and Termination of Terms
1. Amendment of Terms
We may update these Terms based on EU regulation changes or business needs. Updated terms will be displayed on our official website with "Last Updated Date". For core right changes, we will notify you via email in advance. Continued use of services means agreement to updated terms.
2. Termination of Terms
These Terms take effect from service use and terminate upon completion of all services and settlement of rights/obligations. For serious term violations, we have the right to terminate services immediately and pursue liability.
VIII Dispute Resolution
If any dispute arises between you and us regarding these Terms or service-related matters, it should first be resolved through friendly negotiation. If negotiation fails, you have the right to file a lawsuit in the competent court of your EU member state or file a complaint with the relevant regulatory authority.
Matters not covered in these Terms shall be strictly governed by the relevant laws and regulations of the EU and your member state.
